Onsemi has signed a definitive agreement to acquire Synaptics in a transaction valued at $7 billion, marking a decisive push into edge AI, advanced connectivity, and human-machine interfaces. The deal aims to position the combined entity as a leading provider of intelligent sensing and processing systems for physical AI — the intersection of AI with real-world autonomous devices such as robots, industrial systems, and next-generation vehicles.
By integrating Synaptics’ established strengths in low-power edge computing, wireless connectivity (Wi-Fi, Bluetooth, and cellular IoT), and high-performance interface solutions (touch, voice, and display), onsemi intends to complement its own portfolio of power management, sensing, and imaging semiconductors. The result would be a broad platform capable of handling end-to-end AI workloads at the edge, from signal capture and connectivity to on-device inference. Management expects the transaction to accelerate onsemi’s revenue growth in automotive, industrial, and IoT segments, while expanding its addressable market by more than $20 billion across systems where low latency, high reliability, and energy efficiency are critical.
Financially, the all-cash acquisition represents a premium over Synaptics’ recent market valuation, and onsemi plans to fund the purchase through a combination of cash on hand and new debt, maintaining a strong balance sheet with a path to rapid deleveraging. The deal is expected to close in the second half of 2025, subject to customary regulatory approvals and Synaptics shareholder consent. Once completed, onsemi projects the acquisition will be immediately accretive to non-GAAP earnings per share and generate significant cost synergies from combined R&D and scaled manufacturing.
The move comes as competition intensifies to supply the semiconductor platforms underlying physical AI — where real-time sensor fusion, low-power neural processing, and robust connectivity are essential. With Tesla, Qualcomm, and Nvidia all investing heavily in autonomous systems and edge AI, onsemi’s acquisition creates a vertically integrated offering that spans sensing, power, connectivity, and AI compute, uniquely positioning it to serve customers designing intelligent machines rather than discrete components.
